NON-DISCLOSURE AGREEMENT

Alpha Tester NDA · Read fully before accessing the platform

1. Parties

This Non-Disclosure Agreement ("Agreement") is entered into between DUEL Esports Circuit ("Company") and you, the Alpha Tester. By accepting, you agree to be legally bound by this Agreement.

2. Confidential Information Covered

All materials you access during alpha testing are confidential, including:

Unreleased platform software, features, and UI designs
Business strategy, tournament structure, and revenue models
Internal branding, naming, and go-to-market plans
Technical architecture, source code concepts, and integrations
Bugs, errors, performance issues, or incomplete features
All feedback sessions, communications, and test data

3. Your Confidentiality Obligations

Do not disclose any platform info to any third party without prior written consent
Do not post, stream, screenshot, record, or publish anything from the DUEL alpha — no social media, Discord, Reddit, YouTube, Twitch, TikTok, or similar
Do not discuss features, business model, or implementation with anyone not party to this Agreement
Use Confidential Information solely for testing and providing feedback to DUEL
Notify DUEL at legal@duel.gg immediately upon any unauthorized disclosure

4. No Screenshots or Recordings

You are strictly prohibited from taking screenshots, screen recordings, photographs, or any other visual capture of the DUEL alpha platform on any device.

5. Intellectual Property

All Confidential Information remains sole property of DUEL. No IP rights are transferred to you. All feedback, bug reports, and suggestions you provide become DUEL's property and may be used for product improvement without compensation.

6. AI Tools Restriction

You may not input, upload, describe, or share any DUEL Confidential Information into any AI tool, LLM, chatbot, or AI-powered service. This restriction prevents confidential information from being retained in AI training data or becoming accessible to third parties.

7. Exclusions

This Agreement does not apply to information that: (a) is already publicly known through no breach of this Agreement; (b) you can prove you knew before DUEL shared it; (c) you receive lawfully from a third party; or (d) you are legally required to disclose (you must notify DUEL first).

8. Duration

Effective from acceptance. Continues until public launch or DUEL's written notice of alpha end. Confidentiality obligations survive for 2 years after termination.

9. Consequences of Breach

Immediate injunctive relief (no proof of damages required)
Monetary damages including legal costs and attorney's fees
Immediate termination of alpha access without notice
All other remedies available under applicable law

10. Alpha Software Disclaimer

The DUEL alpha is provided "AS IS" for testing only — pre-release software with potential bugs and incomplete features. DUEL makes no warranties of any kind. You waive all claims against DUEL arising from alpha software use.

11. Governing Law & Disputes

Disputes shall first be attempted through good-faith negotiation. If unresolved, submitted to binding arbitration under applicable law.

12. Entire Agreement

This NDA is the entire agreement regarding alpha confidentiality. If any provision is unenforceable, remaining provisions stay in full effect.

1. Who We Are

DUEL is an esports entertainment platform offering skill-based tournaments with real prize pools, virtual play-money casino games, and esports content. Virtual Chips have no real-world monetary value and cannot be exchanged for cash.

2. Data We Collect

Account: Username, email, hashed password, date of birth, country/state
Activity: Tournaments entered, bets placed, games played, Chips balance, match history
Technical: IP address, device type, browser — used for fraud prevention and geo-eligibility only
Optional: Marketing email preference, analytics consent

3. Legal Basis (GDPR)

Contract: Username, email — necessary to operate the service
Legal obligation: DOB (18+ verification), Country (jurisdictional compliance)
Legitimate interest: IP/device — fraud prevention and tournament geo-blocking
Consent: Marketing emails, analytics — only with explicit opt-in

4. Retention Periods

Active accounts: retained for life of account
After account deletion: 3 years (legal & fraud compliance)
Marketing preferences: until consent withdrawn
Analytics: 24 months, then permanently anonymised
Security/access logs: 12 months

5. Your Rights

✅ Access — request a copy of all your data
✅ Correction — fix any inaccurate data
✅ Deletion — "right to be forgotten"
✅ Portability — receive data in machine-readable format
✅ Object — stop marketing at any time, instantly
✅ Withdraw consent — any optional consent, at any time

6. California Residents (CCPA/CPRA)

DUEL does not sell or share personal information for behavioral advertising. California residents have additional rights including the right to know, delete, and opt-out of data sharing.

7. Tournament Prizes & Tax

US residents winning $600+ in a calendar year may receive a 1099-MISC tax form and are responsible for reporting prize income. Non-US winners are subject to their local tax laws. DUEL reserves the right to withhold taxes on large international prizes per applicable treaties.

8. Children's Privacy

DUEL is strictly 18+. Accounts found to belong to under-18s will be deleted along with all associated data immediately and without notice.
