This Non-Disclosure Agreement ("Agreement") is entered into between DUEL Esports Circuit ("Company") and you, the Alpha Tester. By accepting, you agree to be legally bound by this Agreement.
All materials you access during alpha testing are confidential, including:
You are strictly prohibited from taking screenshots, screen recordings, photographs, or any other visual capture of the DUEL alpha platform on any device.
All Confidential Information remains sole property of DUEL. No IP rights are transferred to you. All feedback, bug reports, and suggestions you provide become DUEL's property and may be used for product improvement without compensation.
You may not input, upload, describe, or share any DUEL Confidential Information into any AI tool, LLM, chatbot, or AI-powered service. This restriction prevents confidential information from being retained in AI training data or becoming accessible to third parties.
This Agreement does not apply to information that: (a) is already publicly known through no breach of this Agreement; (b) you can prove you knew before DUEL shared it; (c) you receive lawfully from a third party; or (d) you are legally required to disclose (you must notify DUEL first).
Effective from acceptance. Continues until public launch or DUEL's written notice of alpha end. Confidentiality obligations survive for 2 years after termination.
The DUEL alpha is provided "AS IS" for testing only — pre-release software with potential bugs and incomplete features. DUEL makes no warranties of any kind. You waive all claims against DUEL arising from alpha software use.
Disputes shall first be attempted through good-faith negotiation. If unresolved, submitted to binding arbitration under applicable law.
This NDA is the entire agreement regarding alpha confidentiality. If any provision is unenforceable, remaining provisions stay in full effect.
